Project Description ETIH, or one of its subsidiaries or affiliates proposes to develop, design, construct, own, maintain and operate the South Mississippi Project (the Project ) to increase gas supply and deliverability to Southeast markets and liquid trading hubs at Southern Natural Gas ( Sonat ) and Florida Gas Transmission ( FGT ) Zone 3. The Project is expected to be a combination of new large-diameter pipeline, compression and metering facilities, along with possible expansion and/or lease of existing capacity on ETIH-affiliated pipelines. Depending upon market response, the Project capacity can be 1 billion cubic feet per day ( Bcf/d ) but is scalable to more than 2 Bcf/d. The Project will require the applicable affiliate or subsidiary of ETIH to seek Federal Energy Regulatory Commission ( FERC ) authorization to construct and operate the necessary Project facilities. ETIH proposes to design any greenfield expansions in a manner to minimize adverse impacts on landowners and communities and simplify the FERC review process. ETIH anticipates the Project will be available by the 2nd Quarter of 2028. Any party interested in participating in the Open Season must submit to ETIH an executed Confidentiality Agreement (available upon request as detailed below). Firm Transportation Capacity As currently contemplated, the Project will provide interstate firm transportation from the Carthage Hub, the Haynesville production area, and the Perryville Hub to multiple markets in the Southeast including FGT Zone 3. Additional information will be made available after the execution of a Confidentiality Agreement. Primary Receipt Points subject to this Open Season are anticipated to be existing and potential interconnects in the Carthage, Texas area, or further upstream points in Texas and/or Oklahoma, with Primary Delivery Points to include a new interconnect in FGT Zone 3 east of Compressor Station 10. Delivery interconnections with Sonat and Tennessee Gas Pipeline are also being considered. ETIH, at its sole discretion, may consider additional receipt and delivery points, both within and upstream/downstream of the proposed Project s path. ETIH is currently in discussions with parties, who depending on volume and term, may be considered Anchor Shippers for the Project. Anchor Shippers capacity will not be subject to pro-rationing and will be considered in determining, in ETIH s sole discretion, the optimal size and design of the Project. Further, Anchor Shippers will have certain contract extension rights. Interested parties request for transportation capacity shall be stated on the included Bid Form as a uniform quantity throughout the term of the Service Agreement. ETIH may, but shall not be obligated to, agree on a not unduly discriminatory basis to certain differing levels in transportation quantities for specified periods during the term of the service agreement. Transportation rates for the Project capacity are highly dependent on level of interest, requested contract paths and terms, and facilities ultimately required as a result of this Open Season. Open Season Procedures This non-binding Open Season commences October 17, 2024, at 9:00 a.m. Central Time ( CT ) and ends November 1, 2024, at 5:00 p.m. CT. During the Open Season, any party interested in contracting for service from capacity provided by the South Mississippi Project must first execute and return a Confidentiality Agreement (available upon request) to receive additional information about the Project. Once completed, the Bid Form (included below) must be submitted with the following information to be considered eligible: o Contract Maximum Daily Transportation Quantity ( MDTQ ) o Primary Receipt Point Maximum Daily Quantity ( MDQ ) o Primary Delivery Point MDQ o Reservation Rate (in $/Dth/day) o Primary Term ETIH will further require execution of a Credit Agreement prior to entering into a Precedent Agreement for the Project. ETIH reserves the right to reject any and all Bid Forms on a not unduly discriminatory basis. After the close of this Open Season, ETIH will evaluate all Bid Forms and determine whether to proceed with the Project. The total capacity offered and ultimately awarded in this Open Season will be based on the facilities required to provide requested capacity and final and timely execution of Precedent Agreements with Shippers. ETIH may, in its sole discretion, at any time during the Open Season extend, modify or terminate the Open Season.
